Welcome to Nummularius ("Nummularius," "Company," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the Nummularius website, mobile application, APIs, digital wallets, trading platform, and all related products and services (collectively, the "Services").

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, AML/KYC Policy, Risk Disclosure Statement, and any additional policies incorporated by reference.

If you do not agree to these Terms, you must not use the Services.

2. About Nummularius

Nummularius is a cryptocurrency exchange platform that enables users to purchase, sell, transfer, and trade proprietary digital tokens whose market values are referenced to certain globally recognized commodity benchmarks.

The supported digital assets currently include:

• Nummu Gold (NGT) — Market price reference: COMEX Gold.
• Nummu Oil (NOT) — Market price reference: West Texas Intermediate (WTI) Crude Oil.
• Nummu Cell (NCT) — Market price reference: Spot Market Prices for Lithium Carbonate.

These benchmark references are intended solely as pricing guidance. Nummularius does not guarantee that token prices will always equal or exactly track the referenced commodity prices.

Nothing contained on the Platform constitutes a guarantee of value, investment performance, or future returns.

3. Eligibility

To use the Services, you represent and warrant that you:

• Are at least eighteen (18) years of age or the legal age required in your jurisdiction.
• Have the legal capacity to enter into binding agreements.
• Are not located in or ordinarily resident in a jurisdiction where use of the Services is prohibited.
• Are not listed on any applicable sanctions list.
• Are not using the Services on behalf of any prohibited person or entity.
• Successfully complete all required identity verification procedures.

Nummularius may refuse or terminate access at its sole discretion where permitted by law.

4. Account Registration

Users must provide accurate, complete, and current information. You agree to:

• Maintain accurate account information.
• Keep login credentials confidential.
• Enable Multi-Factor Authentication (MFA) where available.
• Notify Nummularius immediately of any unauthorized access.

You remain responsible for all activity occurring under your account.

5. Identity Verification (KYC)

To comply with applicable laws and regulations, Nummularius requires Know Your Customer (KYC) verification before certain Services are made available. Verification may include:

• Government-issued identification
• Proof of address
• Biometric verification
• Selfie verification
• Source-of-funds documentation
• Enhanced Due Diligence (EDD) where required

Failure to complete verification may result in limitations, suspension, or closure of your account.

6. Anti-Money Laundering Compliance

Nummularius complies with applicable Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF), sanctions, and financial crime laws. The Company reserves the right to:

• Delay or reject transactions.
• Freeze accounts.
• File regulatory reports.
• Cooperate with law enforcement authorities.
• Request additional documentation at any time.

7. Digital Asset Trading

Users acknowledge that digital asset markets involve significant risk. All orders submitted through the Platform are final once executed.

Prices may fluctuate significantly due to:

• Supply and demand
• Market liquidity
• Commodity benchmark movements
• Global economic events
• Regulatory developments
• Market volatility

Nummularius does not guarantee execution at any specific price.

8. Commodity Reference Pricing

NGT, NOT, and NCT use external commodity benchmarks solely as pricing references. These benchmarks may include, but are not limited to:

• COMEX Gold
• WTI Crude Oil
• Lithium Carbonate Spot Market

Prices on the Platform may differ from benchmark prices because of:

• Market liquidity
• Trading volume
• Bid-ask spreads
• Network congestion
• Exchange conditions
• Pricing methodologies

Users acknowledge these differences before trading.

9. No Investment Advice

Nothing contained on the Platform constitutes:

• Investment advice
• Financial advice
• Tax advice
• Legal advice
• Portfolio management
• Recommendations to buy or sell any digital asset

Users are solely responsible for their investment decisions.

10. Risk Disclosure

You acknowledge that:

• Digital assets are highly volatile.
• Commodity prices may fluctuate rapidly.
• You may lose some or all of your investment.
• Past performance is not indicative of future results.
• Blockchain transactions may be irreversible.
• Regulatory changes may affect token availability or value.

11. Wallet Services

Where wallet services are provided:

• Users are responsible for verifying wallet addresses.
• Transactions sent to incorrect blockchain addresses may be irreversible.
• Users should securely store recovery credentials where applicable.

Nummularius is not responsible for losses resulting from user error.

12. Fees

Applicable trading, withdrawal, deposit, conversion, and other fees will be disclosed through the Platform.

Nummularius reserves the right to modify its fee schedule with reasonable notice where required by law.

13. Taxes

Users are solely responsible for determining and paying any taxes arising from their use of the Services.

Nummularius does not provide tax advice.

14. Prohibited Activities

Users may not:

• Commit fraud.
• Launder money.
• Finance terrorism.
• Manipulate markets.
• Engage in wash trading.
• Use insider information.
• Circumvent sanctions.
• Hack or interfere with the Platform.
• Upload malicious software.
• Use stolen identities.
• Violate applicable laws or regulations.

Violation may result in immediate suspension or termination.

15. Intellectual Property

All software, trademarks, logos, trade names, content, graphics, source code, databases, and proprietary technology remain the exclusive property of Nummularius or its licensors.

No rights are granted except those expressly stated in these Terms.

16. Third-Party Services

The Platform may integrate third-party:

• Payment processors
• Blockchain providers
• Identity verification vendors
• Analytics services
• Cloud providers

Nummularius is not responsible for third-party services beyond applicable legal obligations.

17. Suspension and Account Termination

Nummularius may suspend, restrict, or terminate access where:

• Required by law.
• Fraud is suspected.
• AML concerns arise.
• These Terms are violated.
• Regulatory obligations require action.
• Security risks are identified.

18. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by applicable law, Nummularius disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

19. Limitation of Liability

To the maximum extent permitted by law, Nummularius, its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages, including loss of profits, revenue, goodwill, business opportunities, or digital assets, arising from or relating to the use of the Services.

Where liability cannot be excluded, Nummularius' aggregate liability shall not exceed the total fees paid by the user to Nummularius during the twelve (12) months preceding the event giving rise to the claim.

20. Indemnification

You agree to indemnify and hold harmless Nummularius and its affiliates from any claims, losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, misuse of the Services, or violation of applicable law.

21. Force Majeure

Nummularius shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, cyberattacks, governmental actions, labor disputes, internet outages, blockchain network disruptions, or other force majeure events.

22. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which Nummularius is incorporated, without regard to conflict-of-law principles.

Any dispute arising from these Terms shall be resolved through the courts or arbitration forum designated by Nummularius, unless applicable law requires otherwise.

23. Amendments

Nummularius may amend these Terms from time to time. Updated versions will be published on the Platform with a revised "Last Updated" date.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
